Keep only positive thoughts and get rid of negative thoughts then and there.
Do not live on negative thoughts anytime. As soon as you in take a negative thought or a saying from someone, immediately kick it out of your mind. If you allow negative thought to come and stay in your mind, then it automatically takes you down.
Why not just stop it when it comes to you first time and in a small scale. It is similar to the garbage at your place. When you get a garbage into your house, immediately think about getting rid of it and placing it in the trash. If you keep piling or even a small bit of it lying in your house then that will make you house stink and at the same time occupy your precious space.
If you are going towards your dream and going towards your achievement in life, then do not accept any negative thoughts.
Say - if you are saying you want to serve your society and you get constant negative thoughts, do not care for it. As you know Coimbatore is a conservative place and today if you say you want to quit your job and start your business of your own then you get all kinds of advice and placing hindrance to your thoughts about entrepreneurship. That is one main hurdle every youngster is facing today. Most of Coimbatore citizens live in joint family or atleast the decisions are made by more than one person in family - so it is a great hindrance for entrepreneurship and development in and of Coimbatore.

Fast foods in Coimbatore - Chicken & Egg based restaurant
I went to KFC recently. I like the idea of a unique recipe and keeping that secret as secret.
I like the professional cooking and help. While I was there in KFC, I got an idea. Introducing such a Chicken + Egg based restaurant will be a great hit in Coimbatore area.
Egg is as usual cheap. Chicken is easily available and affordable. A decent fast food concept based on Chicken+Egg based foods with professional packing and easy to eat will be a great idea.

One of my lifetime Coimbatore Dreams
I have always like the concept of Library in my childhood.
My mother used to work as a librarian in my school, apart from being a clerk cum typist in the same school.
Even though I don't really have looked into the books very curiously, my mother used to bring books on rent to home for reading. She gives me newspapers for reading, so that I and my brothers would get reading habit. She really understood the concept of reading and its associated advantages. She tried a lot with us.
My uncle(my mother's brother) works as a clerk in Coimbatore Kamaraj University as well. He gets us books from the MKU library for rent. We had so much advantange and access to the libraries in the town.
The libraries, any student would get access to in Coimbatore town are - School library, College Library, University Library, Street library(if one exists) and the City Government Library.
However, when a student wants entertainment, he/she does not go to a library to spend/kill time. Cinema theaters are the main destination, even if it is a daytime or afternoon times.
I think there has to be an option for somebody to spend time in a local library in every area. That is my dream. Anybody should love reading. Reading a book, apart from academic books had been an alien idea for someone.
I am setting a budget starting in 2005 from my personal money to build a network of libraries in and around Coimbatore. Anybody wants to read or gain knowledge or kill time or spend time usefully or pass free time or entertain themselves or have meeting and discuss about knowledgeable topics - then they should think about this chain of libraries. Libraries should facilitate a great childhood in Coimbatore to win the world!!
I am talking, representing New Coimbatore Foundation. I don't know which year I would be able to build this network of libraries, but definitely I will before I die! That is too far anyway.

A business evolves from an idea. An idea originates on a person's mind, while he/she sees a problem and there are too many people who would want that problem to be solved. Of course, the person who comes up with this idea is passionate about the whole thing.

That is what I am talking about. Get many people know about business and that will reach as many people as needed and in fact much more than needed.
Overall Business Thumb rule is - Get more people to know about your business and use your services at low cost or free and they will come to know how special you are - and you will be successful, provided you serve what they need in right manner.

Challenges faced by entrepreneurs in Coimbatore
There are n number of challenges faced by Coimbatore budding entrepreneurs.
Here is a previous post, with a case example of the challenges faced by budding entrepreneurs.
I know a friend of mine, who is in Coimbatore. He is a mechanic by profession and he did not want to work for some else all his life. He wants to start his own business.
There are two kinds of entrepreneurs - small business owners.
1) One is who want to just earn for their daily expense and keep life moving.
2) Another is who want to reach heights and expand their business to a great degree.
The mechanic to-be-entrepreneur I am talking about falls under first category. The challenge he faces is the basic thing. He is already a family man with a wife and a school going little daughter. He does not have a capital. He does not have enough money to lead his family and at the same time cannot do business at this time.
Another challenge for entrepreneurs is location. Some people are not in the location of business, they desire. This is also one of the challenges.

Women (Doctor) entrepreneurs in Coimbatore
These days Women entrepreneurs are setting up hospitals and they are running their business perfectly. There is nothing women cannot do, which Man can only do!!
We are going to talk about a successful Doctor in Vadipatti, Coimbatore.
Dr.Sarmila completed her MBBS degree in Coimbatore Medical College and completed her MD in Obstetrics and Gynaecology in Chennai Medical College. She was one of the few in Coimbatore to complete this.
Though she was born and brought up in Coimbatore, she practiced near Salem privately for couple of years, practiced in Coimbatore Jaihundpuram area also and gained good amount of experience. Came back to her home town and settled in Vadipatti, Coimbatore.
She has setup a polyclinic called - Sree Women's Polyclinic, Vadipatti, Coimbatore. Running successfully in that locality and serving the villages in and around. Eventhough, her husband is helping her out with the business and service - her success so far is much appreciated. These kind of women entrepreneurs in Coimbatore has to be greatly appreciated. More and more people have to come out like this!!!

Mr.X(name hidden for privacy) resigned his day job and plans to start a company of his own in Coimbatore.
X is a married man, with dependants including his wife, son, dad and mom.
When a young professional resigns his day job, takes risks - there is lot of oppositions and negative advocacy from all sides. Parents think from a conservative perspective and non-risky thinking of sticking to a job and getting salary and living a normal life.
It is good to have devil's advocate, when we are having an idea and we are going to execute the same. However, it is difficult to have all of them all the time. Those inputs has to be considered for improvement, but not to impediment any success steps.
If you have a brilliant idea, which you think will be a success in the market, considering your market research; if you have a business plan to execute the plan, which is reviewed by experts and they and you think that it is a good idea, if executed properly. Then nothing should stop you from executing this idea.
My friend X is going through this phase and he is starting a company of his own. I wish him success in his venture and "Made in Coimbatore" is backing up his business with funding.

I think the future of software is all going to be ONLINE. In other words it is called SaaS - Software as a Service.
The traditional software is always deployed in the company infrastructure and the software is used by the users in the company. These days it seems to behosted and used as a service. That is going to be the future as well.

Forming a Company in India
The Companies Act of 1956 sets down rules for the establishment of both public and private companies. The most commonly used corporate form is the limited company, unlimited companies being relatively uncommon. A company is formed by registering the Memorandum and Articles of Association with the State Registrar of Companies of the state in which the main office is to be located.
Foreign companies engaged in manufacturing and trading activities abroad are permitted by the Reserve Bank of India to open branch offices in India for the purpose of carrying on the following activities in India:
� to represent the parent company or other foreign companies in various matters in India, for example, acting as buying/selling agents in India, etc.;
� to conduct research work in which the parent company is engaged provided the results of the research work are made available to Indian companies;
� to undertake export and import trading activities;
� to promote possible technical and financial collaboration between Indian companies and overseas companies.
Application for permission to open a branch, a project office or liaison office is made via the Reserve Bank of India by submitting form FNC-5 to the Controller, Foreign Investment and Technology Transfer Section of the Reserve Bank of India. For opening a project or site office, application may be made on Form FNC-10 to the regional offices of the Reserve Bank of India.
A foreign investor need not have a local partner, whether or not the foreigner wants to hold full equity of the company. The portion of the equity thus not held by the foreign investor can be offered to the public.
Incorporating a Company:
Approval of Name: The first step in the formation of a company is the approval of the name by the Registrar of Companies (ROC) in the State/Union Territory in which the company will maintain its Registered Office. This approval is provided subject to certain conditions: for instance, there should not be an existing company by the same name. Further, the last words in the name are required to be "Private Ltd." in the case of a private company and "Limited" in the case of a Public Company.
Memorandum and Articles, etc.:
The Memorandum of Association and Articles of Association are the most important documents to be submitted to the ROC for the purpose of incorporation of a company. The Memorandum of Association is a document that sets out the constitution of the company. It contains, amongst others, the objectives and the scope of activity of the company and also defines the relationship of the company with the outside world.
The Articles of Association contain the rules and regulations of the company for the management of its internal affairs. While the Memorandum specifies the objectives and purposes for which the Company has been formed, the Articles lay down the rules and regulations for achieving those objectives and purposes.
The ROC will give the certificate of incorporation after the required documents are presented along with the requisite registration fee, which is scaled according to the share capital of the company, as stated in its Memorandum. A private company can commence business on receipt of its certificate of incorporation.
A public company has the option of inviting the public for subscription to its share capital. Accordingly, the company has to issue a prospectus, which provides information about the company to potential investors. The Companies Act specifies the information to be contained in the prospectus.
The prospectus has to be filed with the ROC before it can be issued to the public. In case the company decides not to approach the public for the necessary capital and obtains it privately, it can file a "Statement in Lieu of Prospectus" with the ROC.
On fulfillment of these requirements, the ROC issues a Certificate of Commencement of Business to the public company. The company can commence business immediately after it receives this certificate.

Private Limited Company
A private company is a company which has the following characteristics:
shareholders� right to transfer shares is restricted;
the number of shareholders is limited to fifty; and
an invitation to the public to subscribe to any shares or debentures is prohibited.
Public Limited Company
A public company is defined as a company which is not a private company. The following conditions apply only to a public company:
It must have at least seven shareholders.
A public company is not authorized to start business upon the grant of the certificate of incorporation. In order to be eligible to commence business as a corporation, it must obtain another document called "trading certificate".
It must publish a prospectus or file a statement in lieu of a prospectus before it can start transacting business.
A public company is required to have at least three directors.
It must hold statutory meetings and obtain government approval for the appointment of the management.
There are several other provisions contained in the Companies Act 1956 which are applicable only to public companies and should be consulted.

Procedure for Starting of New Institutions and Additional Courses
Managements desiring to establish new institutions shall get the application from the AICTE (Chennai Office) on payment of the prescribed fees (presently Rs.5000/-.) The applications in the AICTE format for starting new Engineering Colleges/Polytechnics and for starting new courses in the existing institutions are to be submitted to the AICTE, State Government, University etc. as indicated in the formate.
The infrastructural facilities with regard to the availability of land, buildings and finance provided by the applicants will be physically verified by an Expert Committee constituted by the Director of Technical Education on payment of inspection charges and the report will be submitted to the Government with suitable recommendation for the issue of No Objection Certificate. Based on the No Objection Certificate, the AICTE will issue by the viability letter and physically verify the infrastructural facilities available for establishing the institution. Final approval will be granted based on the merit of the recommendations of the Inspection Committee. After getting the approval, the management has to approach the University or State Board of Technical Education for the affiliation.
Procedure of Starting of Commerce Institutions
Commercial Institutions imparting training in Typewriting, Shorthand and Accountancy subjects get temporary/permanent approval from the Directorate of Technical Education, Chennai. For yearly approval, the cost of application from is Rs.100/- and for permanent approval Rs.250/-. The rules and regulations for according approval of commerce institutions are furnished to the applicants who seek approval of this Department for starting such institutions.

Forming a Company in India
The Companies Act of 1956 sets down rules for the establishment of both public and private companies. The most commonly used corporate form is the limited company, unlimited companies being relatively uncommon. A company is formed by registering the Memorandum and Articles of Association with the State Registrar of Companies of the state in which the main office is to be located.
Foreign companies engaged in manufacturing and trading activities abroad are permitted by the Reserve Bank of India to open branch offices in India for the purpose of carrying on the following activities in India:
� to represent the parent company or other foreign companies in various matters in India, for example, acting as buying/selling agents in India, etc.;
� to conduct research work in which the parent company is engaged provided the results of the research work are made available to Indian companies;
� to undertake export and import trading activities;
� to promote possible technical and financial collaboration between Indian companies and overseas companies.
Application for permission to open a branch, a project office or liaison office is made via the Reserve Bank of India by submitting form FNC-5 to the Controller, Foreign Investment and Technology Transfer Section of the Reserve Bank of India. For opening a project or site office, application may be made on Form FNC-10 to the regional offices of the Reserve Bank of India.
A foreign investor need not have a local partner, whether or not the foreigner wants to hold full equity of the company. The portion of the equity thus not held by the foreign investor can be offered to the public.
Incorporating a Company:
Approval of Name: The first step in the formation of a company is the approval of the name by the Registrar of Companies (ROC) in the State/Union Territory in which the company will maintain its Registered Office. This approval is provided subject to certain conditions: for instance, there should not be an existing company by the same name. Further, the last words in the name are required to be "Private Ltd." in the case of a private company and "Limited" in the case of a Public Company.
Memorandum and Articles, etc.:
The Memorandum of Association and Articles of Association are the most important documents to be submitted to the ROC for the purpose of incorporation of a company. The Memorandum of Association is a document that sets out the constitution of the company. It contains, amongst others, the objectives and the scope of activity of the company and also defines the relationship of the company with the outside world.
The Articles of Association contain the rules and regulations of the company for the management of its internal affairs. While the Memorandum specifies the objectives and purposes for which the Company has been formed, the Articles lay down the rules and regulations for achieving those objectives and purposes.
The ROC will give the certificate of incorporation after the required documents are presented along with the requisite registration fee, which is scaled according to the share capital of the company, as stated in its Memorandum. A private company can commence business on receipt of its certificate of incorporation.
A public company has the option of inviting the public for subscription to its share capital. Accordingly, the company has to issue a prospectus, which provides information about the company to potential investors. The Companies Act specifies the information to be contained in the prospectus.
The prospectus has to be filed with the ROC before it can be issued to the public. In case the company decides not to approach the public for the necessary capital and obtains it privately, it can file a "Statement in Lieu of Prospectus" with the ROC.
On fulfillment of these requirements, the ROC issues a Certificate of Commencement of Business to the public company. The company can commence business immediately after it receives this certificate.

Private Limited Company
A private company is a company which has the following characteristics:
shareholders� right to transfer shares is restricted;
the number of shareholders is limited to fifty; and
an invitation to the public to subscribe to any shares or debentures is prohibited.
Public Limited Company
A public company is defined as a company which is not a private company. The following conditions apply only to a public company:
It must have at least seven shareholders.
A public company is not authorized to start business upon the grant of the certificate of incorporation. In order to be eligible to commence business as a corporation, it must obtain another document called "trading certificate".
It must publish a prospectus or file a statement in lieu of a prospectus before it can start transacting business.
A public company is required to have at least three directors.
It must hold statutory meetings and obtain government approval for the appointment of the management.
There are several other provisions contained in the Companies Act 1956 which are applicable only to public companies and should be consulted.

Hardships while building a company
Hardships while building a company
There are lots of hardships, while you are on the process of building the company for
yourself. Let us take up one hardship aspect from that for now.
Ego - If you want to reach the top, you should not have super ego. You should not react to situations. You should always try to be proactive. Do not put your ego before you talk. Set aside your ego away and talk and behave as a simple person in any situation. Do you work and help others as well. Do not think that it is my work and I will do. This is your work and you should do etc., If you have completed your work - you need to help others. Because it is all team work. We all should work together.
Be an example to the whole team for being a driver to all the things and exemplify your role with team work starred on it.
Think that you have a long way to go to build a conglomerate of businesses. Do not get stuck with a simple problem in one business. It is trivial buddy. So keep moving and do not get stuck to some ego issues. You have a long way to build the conglomerate of businesses.

Positive Changes in the company after a first Customer
(1) You will be very busy managing this customer and having them satisfied.
(2) If you are able to satisfy 100% all the first few customers, you don't need to do lot of marketing after that
(3) You will be able to move on with your business and survive in the market.
(4) You will see some money with your first few customers, which will be a very good survival point
(5) Gives motivation and happiness that you can do it and you can make more than this in order to become a success.

Start a business of software in Coimbatore!
After elections, I am sure Coimbatore is expected to have a software park sometime in a year's time.
Start thinking in terms of building a software company now in the secondary cities - like Coimbatore, Tirunelveli etc., and it is the right time.
1. Take up domestic projects in India only, that might give a good amount of revenue. Currently CRM and ERP products are really needed in India, and that has to be tapped perfectly.
2. Provide software products, projects and websits FREE for Non-governmental organizations.
3. Produce software products on demand and start exporting to various countries.
4. Production cost is very low in secondary cities like Coimbatore. Start producing them.
5. Sub-outsourcing is one of things we can take up. Take up part of their projects from the main cities in India like Bangalore, Hyderabad and Chennai.
6. Contacts is going to be very important here. Networking is very important.
7. If you are not good in networking, then hire someone who is good in that. Partnership is also another thing, we might need to opt for.
8. If Coimbatore is slowly getting the infrastructure for industries, let us tap that gradually for building our software companies.
9. If you own a software company already, network with other software companies to mutually benefit.
India needs lots of entrepreneurs
India needs lot of entrepreneurs. This is what Dr.APJ Abdul Kalam also says. let us take a scenario- if more entrepreneurs(small/medium/large enterprises) are created, then that leads to new companies - see take for example Company X - since Company X will pay tax as a company and also all the employees are paying tax. All the employees are employed. Your family get savings, out of your salary. Since Company X is located in Coimbatore - you all must be having lunch and dinner in and around your area, which gets more business for the mess and restaurant. It actually goes on like a chain reaction, which improves more business, which is actually good for our indian economy - micro(individual/family) and macro(country) level.

One of the ways of loosing your customer
It is very difficult to acquire a customer to your place to buy your products. The next challenging thing to do is retaining that particular customer to buy your products more or less the same he was buying.
Here is an incident, I recently came across in Virginia, USA.
I went to a grocery store in our neighbourhood on a saturday evening and bought things for myself, and stood in the queue, which was really really long.
There were only three counters opened. It could have been easier to all of the customers, if more counters were opened.
When I was in the middle of the queue, I saw every customer seeing the length of the queue and giving strange shocking expressions, which was appropriate in fact!
One old lady who was having two milk items, saw this long queue and asked an employee - why don't you guys open another counter. The employee said - "we don't have any more cashiers madam. Sorry about that".
You know what that old lady said - "Well, this purchase of two or three items is not worth standing in this queue"!! and she stepped out, leaving her cart on the side!
Well the grocery stores company lost this customer and she will say this to lot many people, which is going to affect these guys' business!!
It is better the grocery store introspects and corrects themselves!!
These kind of mistakes happen, but it is better we correct them as a precautionary measure or corrective measure, whichever is applicable.
